1. Acceptance of Terms & Eligibility

By downloading, installing, accessing, or using the Fonecue Desktop Assistant, website, extensions, or APIs (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our software. You represent that you are at least 16 years old and legally capable of entering into binding contracts.

2. License Grant & Permitted Use

Fonecue grants you a personal, non-exclusive, non-transferable, revocable license to install and use the application in accordance with your active subscription tier (Free, Pro, or Max). You may connect up to the maximum number of simultaneous devices permitted by your active plan.

3. Ownership of User Content & AI-Generated Outputs

You retain all intellectual property rights in your input data, source code, and project files. As between you and Fonecue, you own all right, title, and interest in the outputs, code snippets, documentation, and answers generated by Fonecue for you ("AI Output"). Fonecue assigns to you all its rights, if any, in and to the AI Output generated during your sessions.

4. Acceptable Use Policy & Prohibited Conduct

You agree not to use Fonecue to: (a) Generate malware, exploits, ransomware, or facilitate unauthorized cyberattacks; (b) Violate intellectual property rights, privacy laws, or third-party confidentiality; (c) Perform automated denial-of-service or bypass API rate limits and quotas; (d) Reverse engineer, decompile, disassemble, or extract proprietary algorithms from Fonecue client binaries; (e) Conduct illegal mass surveillance or unauthorized biometric processing.

5. AI Advisory Disclaimer & Human Verification

Fonecue utilizes generative artificial intelligence to provide coding assistance, OCR analysis, workflows, and automated reasoning. AI outputs are probabilistic and advisory in nature. You are solely responsible for reviewing, testing, and verifying any code, shell commands, configuration files, or actions before executing or deploying them into production environments.

6. Prohibition on High-Risk & Safety-Critical Activities

Fonecue is NOT designed, manufactured, or intended for use in hazardous environments, safety-critical systems, life-support machinery, emergency services dispatch, nuclear facilities, aviation navigation, or any application where software errors or AI hallucinations could lead to death, personal injury, or catastrophic physical damage. Any such use is strictly at your own risk.

7. Local Tools, Terminal Execution & MCP Risk Acknowledgement

Fonecue allows the execution of local shell commands, scripts, and Model Context Protocol (MCP) tools on your machine. You acknowledge that executing local commands carries inherent operational risks. You retain ultimate control over tool permissions and assume full responsibility for actions performed via auto-approved or manually confirmed tool executions.

8. Third-Party Extensions, Community Skills & Total Assumption of Risk

Fonecue supports an open integration ecosystem allowing users to install, develop, or execute community skills, custom scripts, Model Context Protocol (MCP) servers, browser extensions, and IDE plugins (collectively, "Third-Party Extensions & Skills"): (a) Strict 'AS IS' & 'AS AVAILABLE' Disclaimer: Unless explicitly developed, authenticated, and published directly by Fonecue as an official native tool, all Third-Party Extensions and Community Skills are created and distributed by independent third parties. Fonecue makes no representations or warranties of any kind (express, implied, or statutory) regarding the security, integrity, reliability, safety, code quality, non-infringement, or fitness for purpose of any third-party extension; (b) Complete Assumption of Risk & User Due Diligence: You expressly acknowledge and agree that installing, connecting, or executing any third-party extension, plugin, or local script carries inherent security and operational risks, including but not limited to malicious code execution, unauthorized file modification, data exfiltration, system compromise, or data theft from your computer. You assume sole, complete, and exclusive responsibility for auditing, inspecting the source code, and evaluating the trustworthiness of any extension or skill prior to installation or execution; (c) Absolute Disclaimer of Liability for Data Theft & Damages: Fonecue, its developers, and affiliates expressly disclaim all liability and responsibility for any loss of data, proprietary code exfiltration, credential theft, system destruction, prompt injection, malware infection, or damages arising out of or related to your use, installation, or execution of any third-party extensions, plugins, or community skills; (d) Creator Representations & Strict Indemnification: Any user who authors, uploads, or distributes a skill or extension warrants that it does not contain malware, trojans, data exfiltration routines, keyloggers, or unauthorized backdoors, and agrees to fully defend, indemnify, and hold harmless Fonecue and its affiliates from any claims, damages, liabilities, or legal costs arising from their published extensions; (e) Unilateral Removal Rights: Fonecue reserves the right, at its sole discretion and without prior notice, to scan, disable, block, or delete any extension or skill that presents security, privacy, or legal risks.

9. Subscriptions, Credits, Pay-As-You-Go & Refund Policy

Subscription fees, credit allocations, and Pay-as-you-go billing are billed in advance on a recurring basis. You may cancel your subscription at any time via your account billing settings. Because AI reasoning compute is consumed in real-time upon query execution, API credit consumption and used compute allocations are non-refundable once consumed, except as required by mandatory consumer protection law.

10. Third-Party Integrations & Upstream Service Availability

Fonecue integrates with third-party model providers, web search services, and payment processors. We strive for maximum uptime and performance, but we are not liable for temporary service interruptions, rate limits, or outages caused by upstream third-party AI providers or internet disruptions.

11. Export Controls & International Sanctions

You agree to comply with all applicable national and international export and sanctions laws. You represent and warrant that you are not located in, under the control of, or a national or resident of any embargoed country or on any prohibited party lists maintained by the United States, European Union, or applicable international trade bodies.

12. DMCA & Copyright Takedown Policy

We respect the intellectual property of others. If you believe any content or community skill on Fonecue infringes your copyright, please submit a DMCA takedown notice to legal@fonecue.com including: (a) Identification of the copyrighted work; (b) Location/URL of the infringing material; (c) Your contact information; (d) A statement of good faith belief that the use is unauthorized.

13. Limitation of Liability, Indemnification & Zero Liability for Third-Party Plugins

To the maximum extent permitted by applicable law, Fonecue, its affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages—including without limitation loss of profits, data loss, source code theft, confidential data exposure, computer damage, unauthorized computer access, or system downtime—arising out of or related to: (a) Your use of or inability to use the Services; (b) Any AI-generated outputs, recommendations, or code modifications; or (c) The installation, execution, security vulnerabilities, or data handling of any third-party extensions, browser addons, IDE plugins, community skills, or local script executions. In no event shall Fonecue's total aggregate liability exceed the amount actually paid by you to Fonecue in the twelve (12) months preceding the event giving rise to the claim, or $100 USD (whichever is greater).

14. Open Source Software Notices

Certain components of the Fonecue Desktop client incorporate open-source libraries (e.g. Electron, Tesseract OCR, React). Such open-source code is licensed under the terms of the applicable third-party licenses (such as MIT or Apache 2.0). Nothing in these Terms limits your rights under the terms of such open-source licenses.

15. Severability, Entire Agreement & Governing Law

These Terms constitute the entire agreement between you and Fonecue regarding the Services and supersede all prior understandings. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. These Terms are governed by applicable commercial laws without regard to conflict of law principles.
